Dear User, before installing, copying or otherwise using the computer program “Telegram Notifications”, please read the terms of this License Agreement carefully. This License Agreement is a contract of adhesion and is concluded in accordance with the applicable laws of the Russian Federation.

If You do not agree with the terms of this License Agreement, You are not entitled to install, launch or otherwise use the software. Installation, launch, connection, use of the application through the Bitrix24 Marketplace, or any other commencement of use of the software means Your full and unconditional acceptance of all terms of this License Agreement in accordance with Clause 3 of Article 1286 of the Civil Code of the Russian Federation.

This License Agreement (the “Agreement”) is concluded between Individual Entrepreneur Spirin Sergey Kirillovich, TIN 781459870201, OGRNIP 325784700190615, hereinafter referred to as the “Licensor”, and any individual, sole proprietor or legal entity using the computer program “Telegram Notifications”, hereinafter referred to as the “User”.

1. Definitions

1.1. Software, Program means the computer program “Telegram Notifications”, which is a Bitrix24 application intended for configuring and using Telegram bots for notifications, managing bot settings, enabling and disabling webhook, and matching Bitrix24 users with Telegram users and chats.

1.2. Bitrix24 means the software platform and services provided by a third party and used by the User for installation and operation of the Software.

1.3. Subscription means the User’s right to use the Software during the period of an active paid or otherwise valid subscription in the Bitrix24 Marketplace.

1.4. License means a simple non-exclusive license to use the Software under the terms of this Agreement.

2. Subject of the Agreement

2.1. The Licensor grants the User, for a fee or under the Bitrix24 Marketplace terms, the right to use the Software under a simple non-exclusive license within the limits of the Software’s functionality and in accordance with this Agreement.

2.2. The Software is provided on a subscription basis through the Bitrix24 Marketplace. The right to use the Software remains valid during the term of the relevant subscription.

2.3. This Agreement applies to the Software as a whole and to all of its components. The Software is licensed as a single computer program and may not be divided for use on different Bitrix24 portals unless otherwise expressly provided by the Bitrix24 Marketplace licensing rules.

2.4. Unless otherwise provided by the Bitrix24 Marketplace rules, one license grants the right to use one copy of the Software on one Bitrix24 portal.

2.5. This Agreement enters into force from the moment the User starts using the Software and remains effective during the entire term of the Licensor’s exclusive rights to the Software or until termination of the license on other grounds предусмотренных this Agreement or the laws of the Russian Federation.

3. Territory of Use

3.1. The User is granted the right to use the Software without territorial limitation, in any country worldwide, provided that the User complies with applicable law, Bitrix24 rules, Telegram rules, and this Agreement.

4.1. The Software is an intellectual property object and is protected as a computer program. All exclusive rights to the Software belong to the Licensor.

4.2. The Software is protected by the legislation of the Russian Federation on intellectual property and by applicable international law.

4.3. This Agreement does not transfer any exclusive rights to the Software to the User. The User is granted only the right to use the Software within the limits expressly established by this Agreement.

4.4. The Licensor warrants that it possesses the rights necessary to grant the User the right to use the Software as provided by this Agreement.

5. Terms of Use and Restrictions

5.1. The User may use the Software solely for its intended functional purpose within the capabilities provided by the Software interface and technical documentation or the application description in the Bitrix24 Marketplace.

5.2. The User has the right to:

  • install and use the Software on a Bitrix24 portal owned or lawfully used by the User;
  • use the Software during the term of an active subscription;
  • receive Software updates if they are included in the active subscription;
  • contact technical support in accordance with this Agreement.

5.3. The User is prohibited from:

  • transferring, sublicensing, selling, renting, distributing or otherwise granting rights to the Software to third parties;
  • transferring the license to another user;
  • using the Software in violation of the laws of the Russian Federation or any other applicable law;
  • removing or altering any proprietary notices, copyright notices or other legal notices;
  • decompiling, disassembling, modifying, adapting, translating the source or object code of the Software, or performing any other actions aimed at obtaining the source code of the Software, except where such actions are expressly permitted by mandatory provisions of applicable law;
  • using the Software to create products, services or solutions infringing the Licensor’s rights;
  • using the Software for unauthorized access to services, data, accounts, APIs, bots, webhooks or infrastructure of third parties.

5.4. The User may modify the data entered by the User and may use the Software together with the User’s own settings and services within the functionality supported by the Software.

5.5. The User is solely responsible for the legality of the use of Bitrix24, Telegram, third-party APIs, bot tokens, webhooks, user data and any other external services with which the Software interacts.

6. Technical Support and Updates

6.1. The Licensor provides the User with basic technical support regarding installation, setup and use of the Software free of additional charge during the term of the subscription.

6.3. Technical support hours: business days from 09:00 to 18:00 Moscow time.

6.4. Software updates are included in the active subscription and are provided during the subscription term.

6.5. All updates, modifications and new versions of the Software constitute an integral part of the Software unless otherwise expressly stated by the Licensor.

7. Limited Warranty

7.1. The Software is provided on an “as is” basis unless otherwise required by mandatory applicable law.

7.2. The Licensor takes reasonable measures to ensure the operability of the Software, but does not warrant that the Software will fully meet the User’s expectations, operate uninterruptedly, error-free, or be compatible with all possible configurations, external services, or changes in the Bitrix24 or Telegram platforms.

7.3. The Licensor does not guarantee uninterrupted or error-free operation of Bitrix24, Telegram, third-party APIs, servers, communication networks, data transmission channels, or any other third-party systems on which the Software may depend.

7.4. If errors are detected in the Software, the Licensor may, but is not obliged to, fix such errors within a reasonable period determined by the Licensor taking into account the nature of the error, the technical feasibility of its elimination, and the Software’s dependence on third-party systems.

8. Liability of the Parties

8.1. For any breach of this Agreement, the parties shall be liable in accordance with the laws of the Russian Federation.

8.2. The Licensor shall not be liable for any losses of the User, including lost profits, loss of data, loss of goodwill, or business interruption arising out of the use or inability to use the Software, even if the Licensor has been advised of the possibility of such losses.

8.3. The Licensor shall not be liable for:

  • failures, restrictions, blocking, or changes in the operation of Bitrix24, Telegram or any third-party services;
  • actions of the User, the User’s employees, portal administrators, or any third parties;
  • the correctness and legality of the data uploaded, transmitted or processed by the User through the Software;
  • loss of access to accounts, tokens, webhooks, credentials or data not caused by the Licensor.

8.4. The User is responsible for compliance with personal data, trade secret, communications, advertising and other mandatory legal requirements when using the Software.

9. Refund Policy

9.1. No refunds are provided for the right to use the Software unless otherwise required by mandatory provisions of the laws of the Russian Federation or by the Bitrix24 Marketplace rules.

10. Personal Data

10.1. Issues related to personal data processing are governed by a separate document of the Licensor, the Privacy Policy.

10.2. By accepting this Agreement, the User confirms that the User has reviewed or undertakes to review the Privacy Policy before starting to use the Software.

11. Term, Amendments and Termination

11.1. This Agreement shall be governed by and construed in accordance with the laws of the Russian Federation.

11.2. All disputes and disagreements arising out of or in connection with this Agreement shall first be settled through negotiations.

11.3. If no agreement is reached, the dispute shall be resolved in court at the Licensor’s location in Saint Petersburg, unless otherwise required by mandatory applicable law.

11.4. The Licensor may unilaterally amend this Agreement. The new version of the Agreement enters into force from the moment it is published unless another effective date is specified therein.

11.5. The Licensor may unilaterally terminate this Agreement and revoke the right to use the Software if the User breaches this Agreement.

11.6. The User may stop using the Software at any time by removing or disabling the Software on the User’s Bitrix24 portal and discontinuing its use.

11.7. Termination of the subscription, removal of the Software, or loss of access to the Software terminates the right to use the Software unless otherwise provided by the Bitrix24 Marketplace rules.

11.8. If any provision of this Agreement is held invalid, the remaining provisions shall remain in full force and effect.
